1. WRITERS:
As a writer in The Neo Pen Foundation, or
author develop written content for advertisements, books, magazine, movie and
television script, song and online publications.
Duties- writers
and authors of the Foundation do the following:

Choose subject
matter that interest readers.
·
Writer fiction or
non-fiction through scripts, novels, and biographies.
·
Conduct research
to obtain factual information and authentic details.
·
Writers Write
advertising copy for use by The Neo Pen newspapers, magazine, broadcasts, and
the Internet.
·
Present drafts to
editors and clients for feedback.
·
Work with editors
and clients to shape the material so it can be published.
·
Writers make
their first edit by rewriting their own edit manuscripts.
Types of Writers and Authors
The following are example of types of writers
and author of the Foundation:
s Copywriters.
Prepare advertisements to promote the sale of a good or services. They often
work with a client to produce advertising themes, jingles and slogans.
s Biographers.
Write a thorough account of a person’s life. They gather information from
interviews and research about the person to accurately portray important events
in that person’s life.
s Generalists.
Write about any topic of interest, unlike writers who usually specialize in a
given field.
s Novelists.
Write books of fiction, creating character and plots that may be imaginary or
based on real events.
s Songwriters.
Compose music and lyrics for songs. They may write and perform their songs for
music publisher. We can have our audio and video tapes with association and
active partner.
s Playwrights.
Write script for theatrical productions. They produce lines for actors to say,
stage direction for actors to follow, and ideas for theatrical set design.
s Screen writers. Create script for movies and television. They
may produce original stories, characters and dialogue, or turn a book into
movie or television script. Some may produce content for radio.
s Journalists.
Write reports on current events.
2.EDITORS:
The
Neo pen Foundation editors are specific. They are specifics in the sense of
editing and refining the written word. They work with printed materials and
non-printed materials. There are several
levels of editors in the Foundation at newspapers and magazines.
>Editor
in chief or editor at large- responsible for the type of content produced
by the newspapers or magazine, the look of the product, and the nature and number
of stories/ articles to be written.
>Managing
editors- works under the most senior editors. Directs writers to a particular story line.
May write some of the stories. May be responsible for one section of a
newspaper (business or style or local news) or magazine. May write headlines or
may delegate that task to others
>Copy
editor- responsible for checking articles facts and ensuring that an
article matches in-house style guides. Also checks spelling, grammar, and
punctuation. Ma also suggest word changes to keep the newspaper or magazine
from being sued. May arrange layout if articles and side bars. Copy editors
might write headlines too.
Depending
on the size and scope of the publication, The Neo Pen Foundation editors may
perform a combination of the task mentioned above. Their job is to see that
interesting and/or informative articles are produced in a timely and accurate
manner and matches with our objectives, with no factual errors and few writing
errors.
At publishing.
We have several types of editors:
§ Acquisition editor- this type of editors acquires manuscript
from submission to publication, suggesting plot level changes to being the
story in line with publishers’ vision for the product line.
§ Development editor- helps a writer develop a book from idea or
article or initial draft. Makes sure the book will meet the needs of the
publisher and our ultimate user. Will work with the author through any number
of drafts. Guides the writer in topics to be covered in or omitted from the
book completely.
§ Copy/manuscript editors- ensures that the manuscript meets in-house
style standards and current grammar, spelling, punctuation, check facts and may
suggest different words. Verifies headings, statistics, data in graphs, and
foot note entries. They read with the needs of the audience in mind.
§ Proof reader- compares one version of a manuscript against
another to eliminate errors from the newest version. The proof reader is the
last person to check a manuscript before publications. And still proof read
even after publications.

What the Foundation’s editors do to fix the lapses:

Foundation bring to a manuscript the polish and knowledge and skill that a
writer might not have, might not know how to use, or might not use the need for
in his own work.

An editors makes
sure the writers’ work says what the writer intends and says it in the writer’s
voice and with his sensibilities.

An editor’s job
is to make a story, article, or manuscript better. Better in terms of clarity,
enjoyment, logic, flow, and meaning. Better in terms of meeting the needs of
the audience.

An editor serves
the project, the author, and the reader.
·
And editor
balance the writer’s desire with the publisher’s standards and the reader’s
expectations- and finds a way to produce a story to satisfy all three.

Editor read. They
write. They love words and the million of stories that can be crafted from
them. They assemble parts of a manuscript as if they were puzzle pieces,
putting them together to make a fascinating and appealing picture that readers
will want to explore in depth.

They are typically
picky, stickers for what they believe is right, opinionated, and determined.
They often have a great eye for detail, a strong vocabulary, and knowledge of
odd grammar rules.

working with- and playing with- words.

They challenge writers. They challenge themselves.

3.MEDIA:
Working as a media in The Neo Pen Foundation
is to informing the public of the Foundation’s mission, policies and practices
in a positive, consistent and credible manner. Typically, this means
coordinating directly with the section responsible for producing the news and
features in the mass media.
The
goal of media, relation officer is maximize positive courage in the mass media
without paying for it directly through advertising.

Media relations
in the Foundation must read as many magazine, journals, newspaper, and blogs as
possible as they relate to the practice.

Create awareness
of the Foundation
o
Create an impact
with a chosen audience.
o
Assist in
building public support and mobilizing public opinion for the Foundation.

4.AUDIT COMMITTEE:
The
Neo Pen Foundation audit committee is a committee of the board of Trustee
responsible for oversight of the financial reporting process, selection of the
independent auditor, and receipt of audit results both internal and external.
The committee assist the board of
directors fulfill its corporate governance and overseeing responsibilities in
relation to the Foundation’s financial reporting, internal control system, risk
management system and internal and external audit function. Its role is to
provide advice and recommendations to the board within the scope of its terms
of reference/charter.
The audit committee typically assists the
board with the oversight of

The integrity of
the Foundation’s financial statements,
b)
The entity’s
compliance with legal and regulatory requirements,
c)
The independent auditors’
qualifications and independent,
d)
The performance
of the entity’s internal audit function and that of the independent auditors
and
e)
Compensation of
company employees (in absence of a remuneration committee)
Composition:
Usually,
membership of the committee is subject to the maximum number of six persons. To
qualify, the committee must be composed of independent outside trustee with at
least one qualify as a financial expert.
Responsibility:
Boards
of trustee and their committees rely on policies and procedures to run the
daily operations of the business. The trustee’s role is better described as
oversight or monitoring, rather than execution. Responsibilities of the audit
committee typically include:

financial reporting and disclosure process.

Monitoring choice
of accounting policies and principles.

Overseeing
hiring, performance and independence of the external auditors

Oversight of
regulatory compliance, ethics, and whistle blower hotlines.
5.THE SECRETARY:
The Foundation’s secretary is responsible for
ensuring meetings are effectively organized and minute. Maintaining effective
records and administration, upholding the legal requirement of governing
documents, laws, procedures and policies.
The
following are the core duties and functions of the Foundation’s secretary:
Secretarial
functions:
s To ensure compliance of the provisions of
policies and rules stated
s To ensure that business of the Foundation is
conducted in accordance with its objects as contained in the policy.
s To ensure that affairs of the Foundation are
managed in accordance with its objects as contained in the procedure and
policy.
s To prepare the agenda in consultation with the
president and the other documents for all the meetings of the board of
trustees.
s To arrange with and to call and hold meetings
of the board and to prepare a correct record of proceedings.
s To attend the board meetings in order to
ensure that the legal requirements are fulfilled, and provide such information
as necessary.
s To
prepare, in consultation with the president, the agenda and other documents for
the general meetings.
s To prepare, approve, sign and seal agreements
leases, legal forms ,and other official documents on the foundation’s behalf,
when authorized by the board of trustees or the executive, in respect of the
legal advisor and defend the rights of the Foundation in court of law.
s To have custody of the seal of the Foundation.
Legal obligations of secretary:
s Filling of various documents/ returns as
required under the provisions of the. 501(C)(3) laws.
s Proper maintenance of books and registers.
s To see whether legal requirements, charges,
have been complied with.
s To
convene/arrange the meetings of directors on their advise.
s To issue notice and agenda of board meeting to
every member of the Foundation.
s To carry on correspondence with the trustee of
the Foundation on various matters.
s To record the minutes of the proceeding of the
meetings of the trustee.
s To issues notice and agenda of the general
meetings to every member.

s To keep the record of the proceedings.
